Conforme al acuerdo anunciado, Televisa invertirá $1.2 mil millones de Dólares en Univision y transmitirá a Univision su participación del 50% en el capital social de TuTv, a cambio de una participación del 5% del capital social de Univision y recibirá obligaciones a largo plazo convertibles en 30% del capital social de Univision, sujeto al cumplimiento de la legislación y regulación vigente; adicionalmente, Televisa tiene la opción de adquirir un 5% adicional del capital social de Univision. Como resultado de dicha inversión, Televisa nombrará tres directores en el Consejo de Administración de Univision, que estará integrado por 20 directores. La inversión de Televisa da fortaleza al balance de Univision y amplía su flexibilidad financiera.
Bajo el nuevo PLA, Univision ampliará su derecho exclusivo de transmisión de contenidos por televisión en Estados Unidos y adquirirá el derecho exclusivo para transmitir dichos contenidos a través de plataformas digitales. Univision podrá usar el contenido producido por Televisa para plataformas digitales, de televisión de paga y de televisión abierta en sus tres cadenas de televisión (Univision, TeleFutura y Galavision), así como en cualquier cadena en español y cualquier plataforma digital de Univision Interactive (Univision.com, Univision Móvil y Video bajo demanda) existentes o futuras.

The investment by Televisa strengthens Univision’s balance sheet and enhances its financial flexibility, the companies said. Three Televisa representatives will join Univision’s board, which will increase to 20 members.
The agreement gives Univision the right to show Televisa’s programs on digital pay-TV services and on the Internet, providing both companies with new ways to earn revenue in the U.S. The companies had battled over those rights in U.S. court, with Univision winning a ruling in 2009 that barred Televisa from distributing the content online in the U.S.
