On May 15, 2008, Carl Icahn announced his intent to nominate a slate of directors for election at Yahoo!’s 2008 annual meeting of stockholders to take control of Yahoo!. When Mr. Icahn began his proxy contest he had no articulated plan for Yahoo! other than a sale of the Company to Microsoft and today he still lacks a strategy that makes sense for Yahoo! stockholders. His current plan is a complex restructuring of the Company which includes a sale of Yahoo!’s valuable search business to Microsoft.
Ironically, Mr. Icahn previously urged Yahoo! not to sell its search business to Microsoft. Specifically, in an interview on CNBC’s Fast Money program, on June 4, 2008, Mr. Icahn said, "... it’s crazy for this company now to do this alternative deal and give the store away, because obviously, an alternative deal is a poison pill because once you’ve done an alternative deal and given the search to Microsoft, you don’t need Microsoft to buy you anymore. Suspect In Hijacking Of San Francisco Computer Network 'Willing To Cooperate'
A computer engineer accused of taking control of San Francisco's network and locking out other system administrators has pleaded innocent to four counts of computer tampering.
Terry Childs, 43, of Pittsburg, Calif., was arraigned on charges Thursday before Superior Court Judge Paul Alvarado, the San Francisco Chronicle reported. He remained in jail Friday on $5 million bail.
Childs has refused to disclose the password he allegedly created to lock out other system administrators and supervisors from the city's new FiberWAN (wide area network), which stores 60% of all city government data, including e-mails, law enforcement records, and payroll documents.
However, Childs' court-appointed lawyer Erin Crane said after the arraignment that the case was a big misunderstanding and that the suspect has "been willing to hand over the password since Tuesday," the Chronicle reported. Crane said Childs is "willing to cooperate. We have negotiations ongoing."
Officials with the city Technology Department told the newspaper they were unaware of any offer to hand over the password, and a spokeswoman for District Attorney Kamala Harris refused to comment on any talks between the suspect and prosecutors.
Childs, a member of the team of engineers that built the city's computer system, was highly regarded in the Technology Department. The events leading up to his arrest on Sunday started June 20 when he started taking photographs of the agency's new head of security after she began an audit of who had password access to the system, the newspaper said. Childs' frightening behavior prompted the woman to lock herself in an office.
His supervisors' concerns grew when they discovered he had given himself exclusive access to the system and had developed a way to spy on his bosses' e-mails related to his conduct. City's Computer Network Hijacked
Terry Childs is accused of tampering with San Francisco's new computer network to give himself exclusive access, and is allegedly refusing to hand over the passwords which would allow officials into the system.
Mr Childs worked as a network administrator for five years for the San Francisco city government.
The network on which he worked stores 60% of city data, including employee e-mail, payroll files and law enforcement records.
Documents in the system can currently be accessed, but if there is a problem with the network there is no way to repair it quickly.
Experts from Cisco have been brought in to try and rectify the problem, but without the passwords it could take weeks and cost millions of dollars.
It is not yet clear what Mr Childs' motive might have been for his alleged actions.
San Francisco's mayor Gary Newsom described him as "rogue employee that got a bit maniacal".
While it can be hard for companies to stop the actions of a rogue employee, one computer security expert said that systems are in place to try and anticipate when problems are likely to arise.
The Huntsmann system from Tier-3 monitors behaviour on computer systems and alerts security administrators when non-typical behaviour - such as changing passwords - takes place.
Chief technology officer Geoff Sweeney told Sky News Online: "This is an extreme case but they do occur.
"The worst possible scenario is an administrator who goes bad.
"At some point you need to establish a monitoring process that will identify behaviour that is suspicious."

Most 'Walkable' U.S. City: SF Is A Step Ahead
The city by the bay is the most "walkable" in the nation, according to rankings set for release today by WalkScore.com, a service designed to help those seeking a less automobile-dependent life. The distinction encompasses a host of environmental, health and economic advantages.
WalkScore, a division of Seattle software company Front Seat, evaluated the 40 largest U.S. cities based on residents' proximity to grocery stores, coffee shops, restaurants, movie theaters and other amenities. Hills were not taken into account in the rankings, just distance and concentration.
San Francisco scored an 86 out of 100, besting New York's 83 and Boston's 79. Seventeen of San Francisco's neighborhoods ranked 90 or above - considered a "walker's paradise" - including Chinatown, the Mission, Nob Hill and Haight-Ashbury. San Francisco City Officials Locked Out of Computer Network
A disgruntled city computer engineer has virtually commandeered San Francisco's new multimillion-dollar computer network, altering it to deny access to top administrators even as he sits in jail on $5 million bail, authorities said Monday.
Terry Childs, a 43-year-old computer network administrator who lives in Pittsburg, has been charged with four counts of computer tampering.
Childs created a password that granted him exclusive access to the system, authorities said. He initially gave pass codes to police, but they didn't work. When pressed, Childs refused to divulge the real code even when threatened with arrest, they said.
He was taken into custody Sunday. City officials said late Monday that they had made some headway into cracking his pass codes and regaining access to the system.
Childs has worked for the city for about five years. One official with knowledge of the case said he had been disciplined on the job in recent months for poor performance and that his supervisors had tried to fire him.
"They weren't able to do it - this was kind of his insurance policy," said the official, speaking on condition of anonymity because the attempted firing was a personnel matter.
Authorities say Childs began tampering with the computer system June 20. The damage is still being assessed, but authorities say undoing his denial of access to other system administrators could cost millions of dollars.
Officials also said they feared that although Childs is in jail, he may have enabled a third party to access the system by telephone or other electronic device and order the destruction of hundreds of thousands of sensitive documents.
Authorities have searched Childs' home and car for a device that could be used in such an attack, but so far no such evidence has been found.
As part of his alleged sabotage, Childs engineered a tracing system to monitor what other administrators were saying and doing related to his personnel case, law enforcement officials said.
Childs became the target of suspicions inside the technology agency this year, and the case was referred for police investigation in late June, authorities say.
At a news conference announcing Childs' arrest, District Attorney Kamala Harris was tightlipped about what his motive may have been.
"Motive is not necessarily an element of a crime," Harris said. "This city employee committed four felonies."
She added, "This involves compromising a public system that we rely on. Its integrity has been compromised."
The system continues to operate even though administrators have limited or no access, officials said.
